1. Introduction

Welcome to InheriTrades. By accessing or using our platform, you agree to be bound by these Terms of Service. InheriTrades is a subscription-based online marketplace designed to give inherited items a meaningful second life, connecting people who have received items through inheritance with individuals who genuinely want and need them.

2. Our Mission

Our mission is to honor the memories attached to inherited items by ensuring they find homes where they'll be cherished, not discarded. We reduce waste, combat mindless consumerism, and foster meaningful connections between people who understand the value of reuse over replacement.

3. Account Registration

To use InheriTrades, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription and Pricing

InheriTrades operates on a subscription model:

  • Early Adopter Rate: $25/year for the first 500 users
  • Standard Yearly Rate: $50/year thereafter
  • Monthly Rate: $5/month
  • Included Trades: 12 trades annually (swap, sell, or donate)
  • Additional Trades: $5 each beyond the included 12 trades

Subscriptions automatically renew annually unless cancelled. You may cancel at any time through your account settings. Refunds are not provided for partial subscription periods.

5. User Conduct and Responsibilities

When using InheriTrades, you agree to:

  • Provide accurate descriptions and representations of items listed in your booth
  • Only list items that you have the legal right to sell, swap, or donate
  • Honor commitments made in exchanges with other members
  • Treat other community members with respect and dignity
  • Comply with all applicable local, state, and federal laws
  • Use the platform for its intended purpose of exchanging inherited items

You agree NOT to:

  • List items that are illegal, stolen, counterfeit, or infringe on intellectual property rights
  • Engage in fraudulent, deceptive, or misleading practices
  • Harass, abuse, or threaten other users
  • Use the platform for commercial resale operations
  • Attempt to circumvent the subscription or trade limit systems
  • Scrape, copy, or replicate InheriTrades content or functionality

6. Item Listings and Exchanges

Item Listings: You retain ownership of items listed in your booth until an exchange is completed. You are responsible for the accuracy of all item descriptions, photos, and historical information provided.

Three Exchange Types:

  • Swap: Trade items of mutual interest with other members
  • Sell: Offer items at fair prices to those who want them
  • Donate: Gift items to recipients who will truly appreciate them

Each completed exchange counts as one "trade" within your subscription limits. Negotiations, counter-offers, and declined offers do not count as trades.

7. Platform Role and Limitations

InheriTrades serves as a marketplace platform connecting users. We do not:

  • Take possession of or ownership of any listed items
  • Guarantee the quality, safety, legality, or authenticity of items
  • Verify the accuracy of item descriptions or historical claims
  • Assume responsibility for shipping, delivery, or item condition
  • Mediate disputes beyond providing communication tools
  • Act as a party to transactions between users

All transactions occur directly between users. You acknowledge that InheriTrades has no control over and does not guarantee the existence, quality, safety, or legality of items advertised, the truth or accuracy of users' content or listings, or the ability of users to complete transactions.

8. Payment and Financial Terms

Subscription payments are processed through our secure payment processor (Stripe). By providing payment information, you represent that you are authorized to use the payment method provided.

For item sales between users, InheriTrades does not process payments. Users are responsible for arranging payment and delivery directly. We strongly recommend using secure payment methods and tracking for all transactions.

9. Intellectual Property

The InheriTrades platform, including its design, features, functionality, and content (excluding user-generated content), is owned by InheriTrades and protected by copyright, trademark, and other intellectual property laws.

By posting content to your booth, you grant InheriTrades a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your content solely for the purpose of operating and promoting the platform.

10. Privacy and Data

Your use of InheriTrades is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your information.

11. Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms of Service
  • Fraudulent or illegal activity
  • Behavior that harms the community or platform
  • Non-payment of subscription fees

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current subscription period.

12. Disclaimer of Warranties

InheriTrades is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or secure, or that defects will be corrected.

13. Limitation of Liability

To the fullest extent permitted by law, InheriTrades shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the platform
  • Any conduct or content of other users
  • Unauthorized access to or alteration of your content or data
  • Transactions or disputes between users

14. Indemnification

You agree to indemnify, defend, and hold harmless InheriTrades and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Items you list or transactions you conduct

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in [County, State].

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Your continued use of InheriTrades after such changes constitutes acceptance of the new Terms.
